Public offer for conclusion of the telecommunication services contract
OÜ Top Connect Company, located at office 506, 47 Peterburi tee, Tallinn, 11415, Estonia, represented by President Mr. Max Rivshin, acting pursuant to _______________, hereinafter referred to as CSC Telecom, will sign a contract with anyone accepting the offer under the terms of paragraph 11 in accordance with the following conditions:
1. SERVICES
1. On the basis and conditions of this Contract CSC Telecom render to a natural or legal person, who has accepted the present public offer in the order of paragraph 11 hereof (hereinafter the Customer), cellular (mobile) telecommunication services of GSM_____ standart (hereinafter Services) at the rates specified in the Tariffs. Information about rates and services is available online on home page of the agent of CSC Telecom - GLOBALSIM (http://simglobalsim.com/).
2. CSC Telecom provides services using networks of Elion, other operators and its own network. Services can be used through a number allocated at the conclusion of this contract. The place of services rendering is CSC Telecom in Estonia. Services may be provided in other countries by local telecom operators in roaming mode in accordance with the CSC Telecom agreements. The countries in which roaming is available and rates for such services are specified in the Tariffs on the home page of GLOBALSIM (http://simglobalsim.com/).
3.The condition of services rendering is the availability of the Customer's opereable user device and TravelSim SIM card of CSC Telecom network.
2. SERVICE PAYMENT
1. The customer pays for the Services by making an advance payment to authorized agent (or his subagents) of CSC Telecom, including the activation of prepaid cards according to the instructions to them.
2. CSC Telecom has the right to unilaterally change the rates for Services.
3. TROUBLESHOOTING
1. CSC Telecom is not responsible for the operation and performance of user device, as well as the provision and quality of services rendered by operators of other networks.
2. In case CSC Telecom network or its equipment have fault, CSC Telecom is obliged to remove it within a reasonable time. The faults must be reported by phone________________ .
4. OBLIGATIONS OF THE CUSTOMER
1. The Customer uses the Services in accordance with this Contract, international acts and good traditions. The use of the Services in order to harm others is prohibited.
2. The Customer has no right to prevent CSC Telecom or other operators by force of using the services or any other way.
5. CSC TELECOM SHALL BE OBLIGED TO
1. Provide the Customer with the possibility of using the Services.
2. Troubleshoot in accordance with paragraph 3.
3. Provide the quality of Service in accordance with the legislation of Estonia.
6. LIMITATION OF SERVICE OR ITS SUSPENSION
1. CSC Telecom has the right to limit the use of the Service or suspend it in the following cases:
1. The Customer has not paid for Services;
2. The Customer has connected defective or nonqualifying user device to the network.
3. Limitation or suspension of Service is occasioned by the installation, repair or maintenance of network devices or telecommunication networks.
7. RESPONSIBILITY OF THE PARTIES
1. CSC Telecom shall bear responsibility for noise and damage in CSC Telecom network only.
2. CSC Telecom is not responsible for any failures in the networks of other operators that are not under the control of CSC Telecom.
3. Parties are not responsible to each other for consequential damages (including lost profit).
4. The parties are relieved from liability for failure to perform their obligations under this Contract,if this failure is a result of force majeure.
8. VALIDITY, SUSPENSION AND TERMINATION OF THE CONTRACT
1. The Сontract is concluded for an indefinite period.
2. The Сustomer has the right to terminate the Contract upon written notice to the CSC Telecom.
3. CSC Telecom has the right to terminate the Contract in case it had been suspended in accordance with paragraph 6.1.2 and the reasons for which the contract was suspended or restricted are not resolved within a month, or the parties have not agreed to change the terms of the Contract.
9. SETTLEMENT OF DISPUTES
1. If the client disputes the correctness of billing for services rendered or has any complaints on the quality of service, he shall inform the CSC Telecom, no later than 1 month after the end of the calendar month, in which billing for services or the quality of services is dusputed. CSC Telecom has the right to request a claim in writing. After the expiration of the stated term the claims can’t be recognized as justified, the services are recognized to be rendered properly.
2. CSC Telecom deals with the claims and makes an award within 15 working days. If the decision does not satisfy the Customer and the parties will not solve the issue through negotiations, the dispute shall be resolved in accordance with the legislation of the Republic of Estonia.
10. FINAL PROVISIONS
1. This Contract is governed by the law of Estonia. Disputes and disagreements are subject to mandatory consideration of the claim. If the Parties fail to reach agreement, the dispute is submitted for consideration: If the Customer is a legal person - to __________________, if the Customer is natural person - to __________________ (it is necessary to specify the competent courts of Estonia).
2. CSC Telecom maintains the confidentiality of the Customer's data obtained at the conclusion of the Contract or in the course of its execution and announce them to third parties only in the manner prescribed by law.
11. THE ACCEPTANCE OF PUBLIC OFFER
1. The acceptance of this offer is recognized the payment of the connection to the CSC Telecom agent GLOBALSIM Company and its subagents, acting on the territory of the Russian Federation. In support of the conclusion of this Contract the Customer (legal or natural person who has accepted this offer) gets TravelSim SIM card of CSC Telecom network. The terms of this Contract apply only to the Customers of CSC Telecom - natural and legal persons who has accepted this offer in the manner specified in this paragraph.
